TERMS OF USE AGREEMENT
BETWEEN USER AND ETHNOMET INC.

These terms of use (“Terms”) govern your access to and use of Ethnomet Digital Health Platform and all associated websites and services (“EDHP”). By using the EDHP, you agree to be bound by these Terms. If you do not agree with these Terms, do not access or use the EDHP.

The Ethnomet Digital Health Platform is comprised of various application pages (collectively referred to as ” EDHP”) operated by Ethnomet.

Access and Ability to Accept Terms of Use

You affirm that you are at least 16 years of age and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Use, and to abide by and comply with these Terms of Use. Users of EDHP who are under 16 years of age must provide Parental Consent in writing to privacy@itracks.com and receive written approval prior to accessing the platform. 

You may not access EDHP if you are shareholder or employee of a direct competitor of Ethnomet.

Use of the App

The EDHP is designed to provide users with access to healthcare services and information. You may use The EDHP for lawful purposes and in accordance with these Terms. You may not use The EDHP for any illegal or unauthorized purpose or to violate any applicable laws.

Account Registration

To use certain features of the App, you will be required to create an account. You agree to provide accurate and complete information when creating an account, and to update your information as necessary. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account.

Medical, Pharmacy and Laboratory Services

The Platform provides access to telemedicine services, which allow you to consult with healthcare providers remotely. You understand and acknowledge that telemedicine services may have certain limitations and risks, and that they are not a substitute for in-person medical care for many health conditions. You agree to use telemedicine services at your own risk, and to consult with a healthcare provider in person if necessary. 

The Platform provides access to Pharmacy and Laboratory services, which allow you to access services.  You understand and acknowledge that the pharmacy and laboratory services may have certain limitations and risks. You agree to use pharmacy and laboratory services at your own risk, and to consult with a healthcare provider in person if necessary. 

Health Information

The EDHP may provide access to health information reporting based on data collected from yourself, Healthcare Providers and wearable devices and or mobile device. This information is provided for informational purposes only and is not intended to replace professional medical advice, diagnosis, or treatment. You should always consult with a healthcare provider before making any medical decision or taking any actions based on information obtained from the EDHP.

Privacy

We take your privacy seriously and are committed to protecting your personal information. Our Privacy Policy governs the collection, use, and disclosure of your information in connection with the  . By using the EDHP, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy.

 Modification of These Terms of Use

These Terms of Use, and any rights and licenses granted hereunder, may not be transferred or assigned by you.

We may modify these Terms at any time by posting the modified Terms on the EDHP. Your continued use of The EDHP after the posting of the modified Terms constitutes your acceptance of the modified Terms.

Links To Third Party Sites

The EDHP may contain links to other Websites (“Linked Sites”). The Linked Sites are not under the control of Ethnomet and Ethnomet is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site.  We recommend reviewing the terms of use and privacy policy of all websites that you interact with. 

Warranty Disclaimer

You agree that your use of EDHP shall be at your sole risk. The EDHP is provided on an “as is” and “as available” basis, without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that The EDHP will be error-free, uninterrupted, or secure.

Ethnomet does not warrant, endorse, guarantee, or assume responsibility for any service provided by a health care practitioner using the data reported by the EDHP. 

As with the purchase of services through any medium or in any environment, you should use your best judgment and exercise caution where appropriate.

Limitation of Liability

In no event shall Ethnomet, Ethnomet affiliates, or any of their officers, directors, employees, or agents, be liable to you for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever resulting from any:

  1. Errors, mistakes, or inaccuracies of content;
  2. Personal injury or property damage, of any nature whatsoever, resulting from your access to and use of EDHP;
  3. Any interruption or cessation of transmission to or from EDHP;
  4. Any bugs, viruses, Trojan horses, or the like, which may be transmitted to or through applications by any third party; and/or
  5. Any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via EDHP, whether based on warranty, contract, tort, or any other legal theory, and whether or not the company is advised of the possibility of such damages.

The foregoing limitation of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction.

You specifically acknowledge that Ethnomet shall not be liable for Health Care Services, Pharmacy Services or laboratory services provided by Health Care providers in association with the EDHP.  The risk of harm associated with consulting with Health Care Providers rests entirely with you.

The EDHP are controlled and offered by Ethnomet.  Ethnomet makes no representations that the EDHP is appropriate or available for use in your jurisdiction. Those who access or use the EDHP do so of their own volition and are responsible for compliance with local law.

Indemnity

You agree to indemnify and hold Ethnomet harmless from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the EDHP or your violation of these Terms.

Termination / Access Restriction

Ethnomet reserves the right, in its sole discretion, to terminate your access to the EDHP or any portion thereof at any time, without notice.

Copyright and Trademark Notices

The EDHP and its contents, including but not limited to text, graphics, images, and software, are owned by Ethnomet or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the EDHP or its contents without our prior written consent.

Governing Law

This Agreement is governed by the laws of the Province of Saskatchewan, Canada, and you hereby consent to the exclusive jurisdiction and venue of courts in the Province of Saskatchewan, Canada, in all disputes arising out of or relating to the use of the EDHP.
